A copy of the signed agreement will be emailed to you for your records.
MoreCustomersFromTheWeb — Service Agreement
Between: Michael Wheeler, doing business as MoreCustomersFromTheWeb ("Mike"), Laguna Hills, California — and Customer (you), as filled in below.
By signing electronically below, Customer agrees to the terms in this document.
1. Services Mike will provide
Mike will design, build, and host a custom website for Customer's business. After payment is received, Customer will be presented with a search tool to choose the domain name for their website. Mike will register that domain on Customer's behalf, configure DNS, deploy Customer's site to that domain, and provide ongoing hosting and edits as described below.
The website is a professional small-business website. Mike does not guarantee any specific search ranking, lead volume, or business outcome.
2. Fees
- Setup fee: $99 one-time
- Recurring hosting and maintenance fee: $29/month
- Initial charge: $128 (setup + first month) due before the website goes live on Customer's domain
- Recurring charges: $29 billed automatically each month thereafter, until Customer cancels
Payments are processed via Stripe. Customer authorizes Mike to charge the payment method on file for all fees due under this agreement.
3. What's included monthly
- Website hosting and uptime
- Domain registration and email forwarding
- Up to 2 minor edits per month: text changes, photo swaps, hours/services updates, adding new reviews
Anything beyond 2 edits per month, or any major change (new pages, redesigns, custom features, integrations), is billable at $50 per edit or $75 per hour, billed in advance.
4. Refunds
- Setup fee is refundable if Customer requests a refund within 14 days after the website goes live on Customer's domain. After 14 days, the setup fee is non-refundable.
- Monthly hosting fees are non-refundable. Customer may cancel at any time; the website remains live through the end of the current paid month and then goes offline. No prorated refunds.
5. Domain ownership
The domain name is registered in Mike's name and is owned by Mike during the term of this agreement. Mike treats the domain as part of the hosting service, similar to a phone line a service provider supplies.
If Customer cancels and wants to keep the domain:
- Mike will transfer the domain to Customer for a $149 transfer fee
- If Customer does not request a transfer, the domain may be released back to the registrar pool after the current registration period expires
6. Customer's content and warranties
Customer represents and warrants that:
- Customer is the legitimate owner of the business named in this agreement, or is fully authorized to act on the business's behalf.
- All photos, text, reviews, business information, services, prices, and other content provided to Mike are owned by Customer or properly licensed for use on the website.
- Content provided does not infringe any trademark, copyright, trade secret, right of publicity, or other intellectual property right of any third party.
- Content is truthful, accurate, and not deceptive. Customer will not provide false reviews, fabricated awards or certifications, false license or insurance numbers, or knowingly misleading information.
- Content is not defamatory and does not make false or disparaging claims about competitors, including (but not limited to) false price comparisons.
- Customer will not use the website for fraud, deceptive practices, illegal activity, or content prohibited by applicable law.
Customer agrees to indemnify, defend, and hold Mike harmless from any claims, lawsuits, damages, fines, or legal fees arising from Customer's content or breach of these warranties.
7. Customer's right to cancel
Customer may cancel this agreement at any time by emailing Mike at mike@morecustomersfromtheweb.com. The website remains live through the end of the current paid month, then goes offline. Monthly fees are non-refundable. Setup fee refund applies only within the 14-day window described in Section 4.
8. Mike's right to terminate without cause
Mike may terminate this agreement at any time, for any reason, including illness, life events, or inability to continue providing services. If Mike terminates without cause:
- If termination occurs within the first 12 months after the website went live on Customer's domain: Mike will refund the $99 setup fee.
- If termination occurs after 12 months: no refund of the setup fee is owed.
- In either case: monthly fees already paid are non-refundable.
- At Customer's request, Mike will provide a copy of the website's source files (HTML, CSS, images) so Customer may host the site elsewhere; and/or Mike will transfer the domain to Customer at no charge (the $149 transfer fee is waived).
- The website will remain live for 30 days following Mike's notice of termination to give Customer time to migrate. After 30 days, the site goes offline regardless.
9. Mike's right to terminate for cause
Mike may terminate this agreement immediately, without refund and without the 30-day grace period, if Customer:
- Engages in fraud or illegal activity
- Provides content that violates Section 6 (content warranties)
- Harasses, threatens, or abuses Mike or third parties
- Fails to pay any fee due under this agreement (after Stripe's automatic retry period of approximately 14 days)
The website goes offline the same day in such cases.
10. Limitation of liability
To the maximum extent permitted by law, Mike's total liability under this agreement, regardless of the cause of action (contract, tort, negligence, or otherwise), is limited to the setup fee plus one month's hosting fee ($128 total). This limitation does not apply to liability that cannot be limited or excluded by applicable law (such as fraud, gross negligence, or willful misconduct).
11. No warranty
The website and services are provided "as is" and "as available." Mike does not warrant that the website will be free of errors, will rank in any search engine, will generate any specific number of leads or customers, or will be available 100% of the time. Mike will use reasonable efforts to keep the website online and functional. Mike is not responsible for outages caused by third-party services (Cloudflare, Stripe, internet service providers, etc.) outside Mike's reasonable control.
12. Governing law and disputes
This agreement is governed by the laws of the State of California. Any disputes will be resolved in the state or federal courts located in Orange County, California.
13. Entire agreement
This document is the entire agreement between Mike and Customer regarding the website services. Any prior verbal or written promises not included here are not binding. Changes to this agreement must be in writing and signed by both parties (email confirmation acceptable).
14. Severability
If any provision of this agreement is found unenforceable, the remaining provisions remain in full effect.
